Terms of Service

Thank you for using our products. Because we can't know every one of our customers personally, we have to put in place some Terms of Service to help keep the ship afloat.

When we say "Company", "we", "our", or "us" in this document, we are referring to Toposi.

When we say "Services", we mean our websites and any product created and maintained by Toposi, including the Toposi platform.

When we say "You" or "your", we are referring to the people or organizations that own an account with one or more of our Services.

We may update these Terms of Service ("Terms") in the future. Whenever we make a significant change to our policies, we will refresh the date at the top of this page and take any other appropriate steps to notify account holders.

When you use our Services, now or in the future, you are agreeing to the latest Terms. There may be times where we do not exercise or enforce a right or provision of the Terms; however, that does not mean we are waiving that right or provision. These Terms do contain a limitation of our liability.

If you violate any of the Terms, we may terminate your account.

Account Terms

  1. You are responsible for maintaining the security of your account and password and for ensuring that any of your users do the same. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  2. You may not use the Services for any purpose outlined in our Use Restrictions policy, and you may not permit any of your users to do so, either.
  3. You are responsible for all content posted to and activity that occurs under your account, including content posted by and activity of any users in your account.
  4. You must be a human. Accounts registered by "bots" or other automated methods are not permitted.

Payment, Refunds, and Plan Changes

  1. If you are using a free version of one of our Services, it is really free: we do not ask you for your credit card and — just like for customers who pay for our Services — we do not sell your data.
  2. For paid Services that offer a free trial, we explain the length of trial when you sign up. After the trial period, you need to pay in advance to keep using the Service. If you do not pay, we will freeze your account and it will be inaccessible until you make payment.
  3. Paid subscriptions to our Services are sold through our merchant of record, Paddle.com. Paddle handles payment processing, invoicing, sales tax, and refunds on our behalf. When you purchase a subscription, you are buying from Paddle, and your purchase is subject to Paddle's Buyer Terms.
  4. If you are upgrading from a free plan to a paid plan, your billing cycle starts on the day of upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.
  5. We offer a 14-day refund policy. If you are unsatisfied with the Service, you may request a full refund within 14 days of your initial purchase or any subscription renewal. Refunds are processed by Paddle in accordance with their buyer terms.

Cancellation and Termination

  1. You are solely responsible for properly canceling your account. Within each of our Services, we provide a simple no-questions-asked cancellation link.
  2. All of your content will be inaccessible from the Services immediately upon account cancellation. We will permanently delete all content from active systems, logs, and backups within 30 days of cancellation. This includes project data, agent configurations, run logs, project databases, project filesystems, and integration connections. We cannot recover this information once it has been permanently deleted. If you need your data before cancellation, you may request a data export (see our Privacy Policy).
  3. If you cancel the Service before the end of your current paid up period, your cancellation will take effect at the end of the current billing period. You will retain access to paid features until then, and you will not be charged again.
  4. We have the right to suspend or terminate your account and refuse any and all current or future use of our Services for any reason at any time. Suspension means you and any other users on your account will not be able to access the account or any content in the account. Termination will furthermore result in the deletion of your account or your access to your account, and the forfeiture and relinquishment of all content in your account. We also reserve the right to refuse the use of the Services to anyone for any reason at any time.
  5. Verbal, physical, written or other abuse (including threats of abuse or retribution) of a Company employee or officer will result in immediate account termination.

Modifications to the Service and Prices

  1. Sometimes it becomes technically impossible to continue a feature or we redesign a part of our Services because we think it could be better or we decide to close new signups of a product. We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of our Services with or without notice.
  2. Sometimes we change the pricing structure for our products. When we do that, we tend to exempt existing customers from those changes. However, we may choose to change the prices for existing customers. If we do so, we will give at least 30 days notice and will notify you via the email address on record.

Uptime, Security, and Privacy

  1. Your use of the Services is at your sole risk. We provide these Services on an "as is" and "as available" basis.
  2. We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the Services. Of course, we'll reach out to the account owner before taking any action except in rare cases where the level of use may negatively impact the performance of the Service for other customers.
  3. We take many measures to protect and secure your data through backups, redundancies, and encryption. We enforce encryption for data transmission from the public Internet.
  4. When you use our Services, you entrust us with your data. We take that trust to heart. You agree that the Company may process your data as described in our Privacy Policy and for no other purpose. We as humans can access your data for the following reasons:
    • To help you with support requests you make. We'll ask for express consent before accessing your account.
    • On the rare occasions when an error occurs that stops an automated process partway through. We get automated alerts when such errors occur. When we can fix the issue and restart automated processing without looking at any personal data, we do. In rare cases, we have to look at a minimum amount of personal data to fix the issue. In these rare cases, we aim to fix the root cause to prevent the errors from recurring.
    • To safeguard the Company. We'll look at logs and metadata as part of our work to ensure the security of your data and the Services as a whole.
    • To the extent required by applicable law.
  5. We use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Services.
  6. Under the California Consumer Privacy Act ("CCPA"), the Company is a "service provider", not a "business" or "third party", with respect to your use of the Services. That means we process any data you share with us only for the purpose you signed up for and as described in these Terms and the Privacy Policy. We do not retain, use, disclose, or sell any of that information for any other commercial purposes unless we have your explicit permission.

Copyright and Content Ownership

  1. All content posted on the Services must comply with U.S. copyright law.
  2. You give us a limited license to use the content posted by you and your users in order to provide the Services to you, but we claim no ownership rights over those materials. All materials you submit to the Services remain yours.
  3. We do not pre-screen content, but we reserve the right (but not the obligation) in our sole discretion to refuse or remove any content that is available via the Service.
  4. The Company or its licensors own all right, title, and interest in and to the Services, including all intellectual property rights therein, and you obtain no ownership rights in the Services as a result of your use. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from the Company.
  5. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without the express written permission of the Company.

Features and Bugs

We design our Services with care, based on our own experience and the experiences of customers who share their time and feedback. However, there is no such thing as a service that pleases everybody. We make no guarantees that our Services will meet your specific requirements or expectations.

We also test all of our features extensively before shipping them. As with any software, our Services inevitably have some bugs. We track the bugs reported to us and work through priority ones, especially any related to security or privacy. Not all reported bugs will get fixed and we don't guarantee completely error-free Services.

API Terms

We may offer Application Program Interfaces ("API"s) for some of our Services. Any use of the API, including through a third-party product that accesses the Services, is bound by these Terms plus the following specific terms:

  1. You expressly understand and agree that we are not liable for any damages or losses resulting from your use of the API or third-party products that access data via the API.
  2. Abuse or excessively frequent requests to the Services via the API may result in the temporary or permanent suspension of your account's access to the API. The Company, in its sole discretion, will determine abuse or excessive usage of the API. If we need to suspend your account's access, we will attempt to warn the account owner first.

AI Agents and Autonomous Execution

The Services allow you to create and configure AI agents that operate autonomously on your behalf. By using these features, you acknowledge and agree to the following:

Agent Autonomy and User Responsibility

  1. You are solely responsible for the configuration, instructions, permissions, and scope you assign to your AI agents. Agents act based on the instructions and permissions you provide.
  2. Actions taken by your agents — including but not limited to creating GitHub issues, reading and modifying repository contents, executing code, querying databases, and writing files — are treated as actions taken by you. You accept full responsibility for all agent activity under your account.
  3. Agents operate autonomously once triggered (manually, on a schedule, or via delegation from another agent). The Company does not review, approve, or supervise individual agent actions in real time.
  4. You are responsible for setting appropriate scope boundaries, permissions, and include/exclude path filters to limit your agents' access to only what is necessary.

Agent Delegation and Chaining

  1. Agents may be configured to delegate work to other agents in the same project. Delegated agents receive execution context and can access the same integrations and databases as the delegating agent, subject to their own configured permissions.
  2. Agents may be configured to automatically trigger other agents on success or failure of a run. These chained executions occur without additional manual approval.
  3. Delegation depth is limited (currently 2 levels), but chained runs may result in multiple agents executing in sequence. You are responsible for understanding and monitoring the delegation and chaining behavior you configure.

Scheduling and Execution

  1. Agents can be configured to run on recurring schedules (cron expressions). Scheduled runs are checked periodically (currently every 15 minutes). We do not guarantee exact execution times or that every scheduled run will execute — runs may be delayed or skipped due to system load, maintenance, or outages.
  2. The Services are provided on a best-effort basis with no uptime SLA for scheduled agent execution. If a scheduled run is missed, it is not automatically retried.
  3. Agent runs are subject to configurable timeouts. Runs that exceed their timeout will be terminated.

Repository Access and Code Processing

  1. When you connect a repository to a project, agents with the appropriate permissions may read repository contents (files, issues, pull requests) within the scope you define.
  2. Repository contents accessed by agents are sent to third-party AI providers (currently Anthropic) for processing as part of agent execution. See our Privacy Policy for details on how this data is handled and retained.
  3. You are responsible for ensuring that any repository content processed through the Services does not violate third-party intellectual property rights, confidentiality obligations, or applicable laws.
  4. Agents only access repository content within the paths and permissions you configure. The Company does not access repository contents beyond what is required to provide the Services.

Sandbox Execution

  1. Agent code execution occurs in isolated sandbox environments. While we take measures to isolate execution, sandboxes are provided on an "as is" basis and we make no guarantees about perfect isolation.
  2. You are responsible for the code and scripts your agents execute. The Company is not liable for the output, side effects, or consequences of code executed by your agents.
  3. Sandbox environments are ephemeral and may be destroyed at any time. Do not rely on sandbox state persisting between agent runs unless explicitly using the project's persistent storage.

Third-Party Integrations

  1. The Services allow you to connect third-party services (via Composio or direct integrations) to your projects and agents. When you grant an agent access to a third-party integration, that agent may read, create, modify, and delete data in the connected service according to the permissions you configure.
  2. The Company is not liable for any data loss, corruption, unintended modifications, or other damages resulting from agent actions in connected third-party services. You are responsible for understanding the scope of access you grant and for monitoring agent activity.
  3. Third-party integrations are governed by their own terms of service and privacy policies. The Company does not control and is not responsible for the practices of third-party services.
  4. You should review the permissions and access levels granted to each integration carefully. Granting read-write access to a third-party service means agents may modify or delete data in that service.

AI Output and Accuracy

  1. AI agents use large language models (LLMs) to generate responses, make decisions, and take actions. LLM outputs are probabilistic and may contain errors, inaccuracies, or unexpected results.
  2. The Company does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output, including but not limited to code, analysis, recommendations, and GitHub issues created by agents.
  3. You should review agent outputs and actions, particularly for critical or sensitive operations.

Blueprints and Shared Content

  1. The Services allow you to create project blueprints — templates that capture agent configurations, instructions, and project structure. Blueprints can be published publicly or kept private.
  2. You retain all intellectual property rights to your blueprint content. By publishing a blueprint as public, you grant all other users of the Services a non-exclusive, royalty-free license to clone, use, and modify the blueprint for their own projects.
  3. Do not include secrets, API keys, credentials, or other sensitive data in public blueprints. The Company is not responsible for any exposure of sensitive information included in blueprints you choose to publish.
  4. You are responsible for ensuring that any content included in your blueprints does not violate third-party intellectual property rights, confidentiality obligations, or applicable laws.
  5. The Company reserves the right to remove public blueprints that violate these Terms, the Use Restrictions, or applicable law.

Liability

We mention liability throughout these Terms but to put it all in one section:

You expressly understand and agree that the Company shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to these Terms or the Services, whether as a breach of contract, tort (including negligence whether active or passive), or any other theory of liability.

In other words: choosing to use our Services does mean you are making a bet on us. If the bet does not work out, that's on you, not us. We do our darnedest to be as safe a bet as possible through careful management of the business; investments in security, infrastructure, and talent; and in general giving a damn. If you choose to use our Services, thank you for betting on us.
